End User License Agreement (EULA)

This End User License Agreement ("Agreement") governs your access to and use of the cybersecurity software and services provided by Imperum B.V ("Imperum", "we", "us", or "our"). By using Imperum's software, whether via Cloud or On-premise deployment, you ("you" or "Customer") agree to be bound by this Agreement.
1. Scope of Use
This Agreement applies to all use of Imperum software, whether delivered through a cloud-based platform or installed in an on-premise environment. Your use is limited to internal business purposes only and subject to any limitations outlined in an applicable order form or service agreement.
2. License Grant
Imperum grants you a limited, non-exclusive, non-transferable, and revocable license to:
- Access and use the Software via the cloud, or
- Install and operate the Software within your on-premise infrastructure,
in accordance with documentation and this Agreement.
3. Restrictions
You agree not to:
- Reverse engineer, decompile, or disassemble the Software
- Modify, copy, or create derivative works based on the Software;
- Provide unauthorized third parties with access to the Software;
- Use the Software in a way that violates applicable laws or infringes on rights.
4. Ownership
The Software is licensed, not sold. All rights, title, and interest in and to the Software, including all related intellectual property rights, remain with Imperum and its licensors.
5. Updates and Maintenance
- Cloud: Imperum may update the Software automatically, including feature improvements, security patches and bug fixes.
- On-premise: Updates will be made available periodically. You are responsible for applying them unless otherwise agreed.
6. Data & Privacy
- Cloud: You retain all rights to your data. We process it solely to provide the service and in accordance with our Privacy Policy.
- On-premise: You are responsible for data protection and compliance within your environment.
7. Confidentiality
Each party agrees to protect the other’s confidential information with the same level of care used to protect its own. This obligation survives the termination of this Agreement.
8. Term and Termination
This Agreement remains in effect until terminated. We may suspend or terminate your access for a material breach or misuse. Upon termination, you must cease using the Software and delete any local copies.
9. Warranties & Disclaimers
The Software is provided “as is” without warranties of any kind, whether express, implied, or statutory. Imperum does not guarantee uninterrupted or error-free operation.
10. Limitation of Liability
To the extent permitted by law, Imperum is not liable for any indirect, incidental, or consequential damages, or for loss of profits or data. Our total liability is limited to the fees paid to Imperum in the 12 months prior to the claim.
11. Compliance and Export
You agree to comply with all applicable export control and data protection laws. You may not use or distribute the Software in violation of any such regulations.
12. Governing Law
This Agreement is governed by the laws of the Kingdom of the Netherlands. Disputes will be resolved in the courts of the Kingdom of the Netherlands.
13. Modifications
Imperum reserves the right to modify or update this Agreement at its discretion, as necessary. Material changes will be communicated to you in a manner deemed appropriate, and continued use of the Software following such updates shall constitute your acceptance of the revised terms.
